Terms of Service

1. Acceptance of Terms & Company Identification

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Rung Technologies, LLC, a Wyoming limited liability company (“Rung,” “Company,” “we,” “our,” or “us”).

By creating an account, downloading the Rung mobile application, accessing our website at rungtech.com (or any associated domain including rungtechnologies.com), or using any software, features, or content provided by Rung (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you must immediately cease accessing and using the Services.

2. Nature of the Rung Platform

Rung is a consumer financial technology application designed to help residential tenants build long-term wealth and improve financial health. The platform enables users to:

• Schedule automated micro-investments timed to coincide with their monthly rental payments.
• Acquire fractional membership interests in real estate owning Special Purpose Vehicles (“SPVs”) hosted and issued via LandTrustX.
• Enroll in credit bureau rent reporting powered by Varapay to transmit verified on-time rent payment records to major consumer reporting agencies.
• Track community equity streaks, educational milestones, and portfolio growth.

3. Securities Disclosures & LandTrustX Integration

Rung Technologies, LLC is NOT a registered broker-dealer, investment adviser, funding portal, or bank.

All fractional real estate securities offered or referenced within the Rung application are originated, managed, and issued through independent Special Purpose Vehicles (typically limited liability companies) hosted on LandTrustX. Any securities transactions, secondary market matching, share issuance, or investor suitability verifications are executed pursuant to applicable exemptions under the Securities Act of 1933 (such as Regulation CF, Regulation A+, or Regulation D) through LandTrustX and its designated licensed broker-dealers, escrow agents, and registered transfer agents.

Investment Risk Notice: Fractional real estate investments are speculative and involve substantial risk, including illiquidity, lack of a public trading market, fluctuation in property valuations, and the potential loss of your entire invested capital. Past performance is no guarantee of future results. Distributions and appreciation are not guaranteed. Rung does not provide personalized financial, investment, legal, or tax advice.

4. Credit Bureau Rent Reporting Powered by Varapay

Rent reporting functionality on Rung is provided in partnership with Varapay, an authorized data furnisher operating in compliance with the Fair Credit Reporting Act (“FCRA”).

When you enroll in rent reporting, you authorize Rung and Varapay to verify your lease terms and rent payment transactions with your property management software or connected bank account. Verified on-time payments will be formatted to CDIA Metro 2 standards and transmitted to Experian, TransUnion, and Equifax.

Accuracy & Disputes: Credit score impacts vary based on your individual credit profile. While on-time reporting typically enhances credit profiles, Rung and Varapay cannot guarantee a specific point increase. In the event of a factual dispute regarding reported payment records, you may initiate a dispute directly through our support team or the respective credit bureaus under the FCRA.

5. Subscription Tiers & Billing Terms

Rung offers both free and paid subscription plans:

• Rung Basic (Free): Access to monthly rent-cycle micro-investing and standard quarterly liquidity windows.
• Rung Plus ($4.99/month or $47.88/year): Everyday purchase round-ups, Varapay credit bureau rent reporting to Experian, TransUnion, and Equifax, 1.5x streak multiplier, priority liquidity matching, and annual tax document vaults.

Automatic Renewal & Cancellation: Paid subscriptions automatically renew each billing cycle unless cancelled prior to your renewal date through your account settings or mobile app store. Subscription fees are non-refundable for partial billing periods except where required by applicable law.

6. Identity Verification (CIP / KYC)

To comply with federal anti-money laundering (“AML”) laws and USA PATRIOT Act customer identification programs (“CIP”), you will be required to provide verified identity information (such as your legal name, date of birth, residential address, and Social Security Number) before initiating real estate share purchases or executing withdrawals. You agree to provide accurate and truthful information at all times.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL RUNG TECHNOLOGIES, LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00 USD) OR THE TOTAL FEES PAID BY YOU TO RUNG TECHNOLOGIES, LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Governing Law, Binding Arbitration & Class Action Waiver

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

MANDATORY ARBITRATION:Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be settled by binding individual arbitration administered by the American Arbitration Association (“AAA”) in Cheyenne, Wyoming.

CLASS ACTION WAIVER: YOU AND RUNG TECHNOLOGIES, LLC AGREE THAT ANY CLAIMS SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING.
